Umbilical — Terms of Use

In these terms, "Solfront" means the provider of Umbilical, "the application" means Umbilical, and "you" means the person using it. A Japanese translation is available with the language switch at the top of this page. The English text is authoritative; where the two differ, the English text governs.

By using the application you agree to these terms. If you do not agree, do not use it.

1. Definitions

• Card: a small application that you place in the application and run from it.
• Workspace: a folder in which cards are arranged. You may have more than one workspace.
• Free use: use of the application without a subscription.
• Subscription: the paid plan described in section 3.
• Account: the email address by which a subscription is recognised, as described in section 4.

2. Free use

The application is free to use. You need no account and no sign-in.

Today every feature and every update is free. Paid features may be added later and offered only to subscribers. A feature that has been made free is not later made paid.

In free use, you may have up to 50 cards in total across all workspaces on this Mac. You may delete cards and add others within that number at any time.

In free use, the application shows a request to support it with a subscription (a "request to subscribe") on screen from time to time. There is no fixed rule for when it is shown, and you cannot know in advance when it will appear. By default it currently appears, for example, about once in every few dozen times you use a card. How often it is shown may change without notice. While you have a subscription, the request to subscribe is not shown.

3. Subscription

3.1 Plans and price

A subscription is offered monthly and yearly. The price is the current price shown on the Umbilical page at the time you subscribe, including consumption tax where it applies. Solfront may change the prices with notice under section 10; a change does not apply to a period you have already paid for.

3.2 Automatic renewal

A subscription renews automatically at the end of each period, monthly or yearly as you chose, and the payment method on file is charged on the renewal date. It keeps renewing until you cancel.

3.3 Seller, payment and receipts

Payment is processed by Stripe. From your point of view the seller of record is Link, Stripe's checkout service. Your card statement shows a name beginning with "LINK.COM*" and your receipt shows "Sold through Link". Cancelling, changing the payment method and downloading receipts are done by you on Link's site (link.com), not through Solfront.

3.4 Cancellation

You may cancel at any time on link.com. Cancellation takes effect at the end of the period already paid for. No further charge is made after that.

3.5 Refunds

Refunds follow Link's refund rules. Refund requests are made through Link's support.

3.6 If payment stops

If a renewal payment fails or you cancel, the application does not stop working. It shows a request to subscribe, and nothing else changes. Your cards and workspaces stay as they are.

4. Account

When you pay, the email address you gave at payment becomes your account. There is no password. To sign in on another computer you enter that email address, and the application sends a six-digit code to it; you type the code to sign in.

One account is for one person. If a company uses the application, it needs one subscription for each person who uses it. Solfront does not enforce this in the software; it relies on you.

You are responsible for keeping access to the email address. If you can no longer receive email at it, contact Solfront at the address in section 12.

5. Your cards and your data

Cards you create, and everything they read and write, belong to you. Solfront claims no right in them and does not receive them (see the Privacy Policy).

6. Solfront's rights

The application, its name and its source code belong to Solfront. You may not sell, give away or upload a copy of the application.

7. Acceptable use

You may not use the application to break the law, to interfere with Solfront's server at api.umbilical.app, or to obtain a subscription without paying for it.

8. No warranty

The application is provided as it is. Solfront does not warrant that it is free of faults, that it fits a particular purpose, or that it will keep running on a given version of macOS. Cards run code that you or others wrote; Solfront is not responsible for what they do.

9. Limit of liability

To the extent the law allows, Solfront's total liability to you for anything arising from the application or the subscription is limited to the amount you paid for the subscription in the twelve months before the event that gave rise to the claim. For free use that amount is zero.

This limit does not apply to damage caused by Solfront's intent or gross negligence, and does not remove rights that consumer protection law gives you and that cannot be waived by agreement.

10. Changes to these terms

Solfront may change these terms. A change is announced on this page, with the date it takes effect, before it takes effect. If the change concerns a subscription, the notice is given at least 30 days in advance. If you keep using the application after the date, the new terms apply to you. If you do not agree, cancel your subscription and stop using the application.

11. Governing law and court

These terms are governed by the laws of Japan. Any dispute is brought before the district court having jurisdiction over Solfront's place of business as the court of first instance with exclusive jurisdiction, to the extent the law allows.
